Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Nodle’s website and product (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

Please also read our Privacy Policy and Acceptable Use Policy, which are part of these Terms.

Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

The Service and early access

Nodle provides an AI-native workspace for construction teams, including planning, communication, meeting capture, document understanding, and progress tracking. The Service is offered on an evolving basis and may currently be provided as an early-access or beta offering. Features may change, and some features may be added, modified, or removed. Where the Service is offered free of charge or in beta, it is provided “as is” and we may impose usage limits.

Your content

“Customer Content” means the data you and your team submit to or create in the Service, including projects, tasks, messages, documents, meeting recordings, and transcripts.

  • Ownership. As between you and Nodle, you retain all rights in your Customer Content.
  • License to operate the Service. You grant Nodle a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content solely to provide, secure, and improve the Service, including by transmitting it to the third-party providers described in our Privacy Policy and Sub-processors page.
  • Responsibility. You are responsible for your Customer Content, for having the necessary rights and consents to submit it (including consent to record meetings and to process others’ personal information), and for ensuring its use in the Service complies with applicable law.

AI features and disclaimers

The Service uses AI, including third-party AI providers, to generate plans, summaries, suggestions, transcripts, and other output (“AI Output”). AI Output may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing AI Output before relying on it, and you should not treat AI Output as professional engineering, legal, financial, or safety advice. We make no warranty regarding the accuracy of AI Output.

Acceptable use

You agree to use the Service in accordance with our Acceptable Use Policy. You must not misuse the Service, interfere with its operation, attempt to gain unauthorized access, or use it to violate the law or the rights of others.

Third-party services

The Service integrates third-party services (including AI, storage, communications, and infrastructure providers). Your use of the Service is also subject to those providers processing data as described in our Privacy Policy. We are not responsible for third-party services we do not control.

Intellectual property

Nodle and its licensors own all rights in the Service, including its software, design, and trademarks. These Terms do not grant you any rights in the Service except the limited right to use it as permitted here. Feedback you provide may be used by us without restriction.

Confidentiality

Each party may have access to the other’s confidential information. Each party agrees to protect the other’s confidential information and to use it only as needed to exercise its rights and perform its obligations under these Terms.

Disclaimers

Except as expressly stated, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Nodle will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Nodle’s total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred US dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You will defend, indemnify, and hold harmless Nodle from claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, limitation of liability, and indemnification) will survive. We will make Customer Content available for export, or delete it, as described in our Privacy Policy and Data Processing Addendum.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date, and we will provide additional notice for material changes where required. Your continued use of the Service after changes take effect constitutes acceptance.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Nodle is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over disputes, except where mandatory local law provides otherwise.
